Scope and parties
These terms describe the working framework for the digital services offered by Tolga Demir under the FERRON brand. On one side is FERRON as the provider, on the other the client. The text complements the written proposal prepared for each engagement. Where the proposal and these terms conflict, the proposal prevails.
Nothing is sold on this site
There is no order step, basket or online payment at https://ferronmedya.com. The site presents services and lets you get in touch. A contract is formed not through the site but through discussion and the approval of a written proposal. For that reason no distance selling agreement is published here. If online payment is opened later, a distance contract and a pre contract information form will be published separately.
Proposal and scope
The scope, the deliverables, the timeline and the fee are defined in a written proposal prepared for each engagement. Nothing outside the proposal counts as part of the work. Requests beyond the scope are priced as separate work and begin only with the client's approval. Unless stated otherwise, proposals are valid for fifteen days.
Fee and payment
The fee is stated in writing before work begins and stays fixed unless the scope changes. The payment schedule is set out in the proposal and may be upfront or staged depending on the work. Payment is made by bank transfer. No payment is taken through the site and card details are never requested at any stage. Work may be paused on overdue payments, and the delivery date then moves by the length of the delay.
What the client is responsible for
The client supplies the copy, images, logo, brand assets, domain and account access needed for the work, on time. The client confirms holding the right to use the material provided and that it infringes no third party rights. Responsibility for disputes arising from that confirmation rests with the client. Feedback and approvals are expected within a reasonable period.
Timeline and delivery
The delivery date is written in the proposal and starts running the day work actually begins. If content, access or approvals expected from the client are late, the timeline extends by the same amount and that delay is not attributed to FERRON. Delivery is deemed to occur when the work is submitted for acceptance.
Revisions
Each deliverable carries the number of revision rounds stated in the proposal. A revision is a correction or improvement within the approved scope. Changing direction entirely, or reopening a stage already approved, is new work rather than a revision and is priced separately.
Acceptance
Delivered work is deemed accepted if no written objection arrives within seven days of delivery. An objection must be specific and grounded in the scope set out in the proposal.
Intellectual property
The right to use the delivered work passes to the client once the fee is paid in full. No right of use arises over files shared before payment is complete. Drafts, discarded alternatives and internal tools created along the way remain with FERRON. FERRON reserves the right to show the delivered work in its portfolio and promotional channels, and will not do so if the client asks otherwise in writing.
Third party services and licences
Domains, hosting, advertising accounts and similar subscriptions are opened in the client's name, paid by the client and stay with the client when the work ends. Licences for third party software, plugins, themes and typefaces remain subject to their own terms. FERRON cannot be held responsible for outages, price changes or policy changes in those services.
Confidentiality
Each party keeps confidential the commercial information, access credentials and unpublished plans learned during the work. This obligation continues after the work ends.
Limits of liability
FERRON undertakes to carry out the work with care and to professional standards. For outcome driven services no particular sales figure, search ranking or reach is guaranteed, since those results also depend on market conditions and the decisions of third party platforms. FERRON's liability is in every case limited to the fee paid for the work in question. No liability is accepted for indirect loss, loss of profit or loss of data.
Termination
Either party may terminate by written notice. On termination the fee for work carried out up to that point is earned and payable. Any amount paid in advance without matching work delivered is refunded to the client. Work stalled for more than thirty days for reasons attributable to the client may be treated as terminated.
Force majeure
Natural disaster, epidemic, general strike, prolonged failure of power or internet infrastructure, changes in legislation and similar events outside the parties' control count as force majeure. Timelines pause for as long as the obstacle lasts.
Governing law and disputes
These terms are governed by the laws of the Republic of Türkiye. In a dispute the parties first seek a written resolution. Failing that, the courts and enforcement offices of Istanbul have jurisdiction. Where the client qualifies as a consumer under Turkish Consumer Protection Law number 6502, the rights and remedies that legislation grants them are reserved.
